AFFILIATE PROGRAM

TERMS AND CONDITIONS

1. INTRODUCTION

These Affiliate Program Terms and Conditions (“Agreement”) govern your participation in the Nuyae Affiliate Program (“Program”). By applying to and participating in the Program, you agree to be bound by these terms.

2. ELIGIBILITY

To participate in the Program, you must:

• Be at least 18 years of age.
• Have a valid website, blog, social media account, or other online presence suitable for promoting Nuyae.

Nuyae reserves the right to approve or decline affiliate applications at its discretion.

3. ENROLLMENT IN THE PROGRAM

To become an affiliate, you must complete the online application form. Once accepted into the Program, you will receive a unique affiliate code or tracking ID to use when referring customers.

4. AFFILIATE RESPONSIBILITIES

As an affiliate, you agree to:

• Promote Nuyae’s products using your unique affiliate code or tracking ID.
• Represent Nuyae and its products accurately and honestly.
• Comply with all applicable laws, regulations, and advertising guidelines.
• Not make false, misleading, or unsubstantiated claims about Nuyae or its products.
• Not engage in spam, unsolicited emails, or other forms of unwanted communication when promoting Nuyae.
• Only promote Nuyae through approved platforms and channels.

5. COMMISSION AND CUSTOMER DISCOUNT

• Affiliates will receive a 5% commission on the eligible product value of the first completed purchase made by each new customer referred using their unique affiliate code.
• The affiliate commission is calculated based on the eligible product/cart value after any applicable discounts and excludes shipping or delivery fees, taxes, payment or processing fees, and any other non-product charges.
• Each new customer who uses an affiliate’s unique code will receive 5% off their first eligible purchase.
• Subscription purchases are not eligible for affiliate discounts or commissions, as subscription products are already offered at a discounted price.
• Affiliates will earn commission only on the first eligible purchase made by each new customer they refer. Affiliates will not earn commission on subsequent purchases made by the same customer.
• Commissions accrue to the affiliate’s wallet once the referred order has been confirmed and completed. Affiliates may use their wallet balance to purchase Nuyae products at any time or withdraw it as cash whenever they choose.
• The minimum cash withdrawal amount is NGN 10,000, subject to a NGN 100 withdrawal fee.
• Commissions will not be paid on refunded, returned, charged-back, or cancelled orders.
• Nuyae reserves the right to reverse any commission already credited where a qualifying order is subsequently refunded, returned, cancelled, or charged back.
• Nuyae reserves the right to withhold or reverse commissions in cases of suspected fraud, abuse, self-referrals, or other violations of these Terms and Conditions.

6. MARKETING MATERIALS

Nuyae may provide affiliates with approved marketing materials, including banners, text, product images, videos, and other promotional content.

Affiliates may not materially modify, recreate, or alter Nuyae’s marketing materials without prior approval. Affiliates may create their own promotional content where appropriate, provided that such content is accurate, does not make unapproved claims, and complies with these Terms and Conditions and any brand guidelines provided by Nuyae.

7. PROHIBITED ACTIVITIES

Affiliates may not:

• Engage in any deceptive, misleading, fraudulent, or unethical marketing tactics.
• Make any false, misleading, harmful, or unsubstantiated claims regarding Nuyaé, its products, services, or brand.
• Bid on Nuyaé branded keywords in paid advertising campaigns without prior written approval.
• Use the Nuyaé name, trademarks, logos, product images, or other intellectual property in a manner that could cause confusion, imply unauthorized affiliation, or suggest endorsement beyond the affiliate relationship.
• Promote Nuyaé products through illegal or unethical means, including hacking, phishing, or other activities intended to deceive, manipulate, or harm customers or the Company.
• Post, comment, publish, or share content on social media, websites, forums, or other platforms that is false, defamatory, abusive, threatening, or reasonably likely to damage Nuyaé’s reputation.
• Engage in negative online behaviour, including spam, abusive comments, harassment, unsolicited communications, or other activities that may negatively affect Nuyaé, its customers, or its reputation.
• Engage in offline behaviour, including spreading false or defamatory statements, misrepresenting the Company, or engaging in conduct at events, in-person interactions, or through word-of-mouth that could reasonably harm Nuyaé’s reputation.
• Engage in any conduct that Nuyaé reasonably determines to be detrimental to its brand image, reputation, customers, or business.
• Engage in any form of fraud or manipulation, including self-referrals, fake accounts, fraudulent transactions, click fraud, cookie manipulation, the use of bots, automated tools, or any other method designed to improperly generate commissions.
• Promote Nuyaé products on prohibited websites, apps, platforms, or channels, or through any medium that Nuyaé reasonably considers inappropriate, unsafe, illegal, or damaging to the Company’s brand.
• Use paid advertising, promotional campaigns, discount platforms, coupon websites, or other promotional channels to represent themselves as Nuyaé or as an official Nuyaé account without prior approval.
• Attempt to circumvent, manipulate, or interfere with the Program’s tracking, attribution, commission, or payment systems.
• Use misleading claims about discounts, prices, promotions, product availability, product benefits, or other purchasing conditions.
• Collect, use, store, disclose, or share customer personal data without the appropriate consent or legal basis.
• Use customer information obtained through the Program for any purpose other than the legitimate promotion of Nuyaé and management of the affiliate relationship.
• Fail to comply with all applicable laws and regulations, including advertising regulations, consumer protection laws, data privacy laws, and applicable disclosure requirements in the jurisdictions in which they operate.
• Disclose, publish, or share confidential or non-public information belonging to Nuyaé, including but not limited to pricing, strategies, business plans, marketing plans, customer information, and upcoming product releases.
• Represent themselves as an employee, representative, agent, owner, or official spokesperson of Nuyaé unless expressly authorized to do so.
• Engage in any activity that creates a false impression that a customer is dealing directly with Nuyaé when they are instead interacting with an affiliate or third-party platform.

Any violation of these prohibited activities may result in immediate suspension or termination of the affiliate partnership and, where applicable, the forfeiture of unpaid commissions. Nuyaé reserves the right to take any additional action available to it where an affiliate’s conduct results in fraud, financial loss, legal exposure, or reputational harm.

8. AFFILIATE CODE TRACKING

All eligible sales generated through the Program will be tracked using the affiliate code or tracking ID provided to the affiliate. Affiliates are responsible for using their unique affiliate code correctly when promoting Nuyae products.

Nuyae is not responsible for commissions that cannot be accurately attributed due to incorrect use of an affiliate code or tracking ID.

9. TERM AND TERMINATION

This Agreement will remain in effect until either party terminates it. You may terminate your participation in the Program at any time by providing written notice to Nuyae.

Nuyae reserves the right to suspend or terminate an affiliate’s participation immediately if the affiliate violates these Terms and Conditions or engages in conduct that Nuyae reasonably considers harmful to its brand, customers, or business.

Upon termination, any unpaid commissions associated with fraudulent, disputed, cancelled, refunded, or otherwise ineligible transactions may be withheld or forfeited.

10. REFUNDS AND CHARGEBACKS

In the case of refunds, returns, chargebacks, or cancellations, Nuyae will reverse the corresponding commission where applicable. Affiliates are not entitled to commission on orders that are refunded, returned, charged back, or cancelled.

11. CONFIDENTIALITY

Affiliates agree to keep all proprietary and confidential information received from Nuyae private and not disclose such information to third parties without Nuyae’s prior written consent, except where disclosure is required by law.

12. MODIFICATIONS TO THE PROGRAM

Nuyae reserves the right to modify, suspend, or cancel the Affiliate Program at any time. Affiliates will be notified of material changes to the Program or these Terms and Conditions.

Continued participation in the Program following notification of material changes constitutes acceptance of the updated terms.

13. DISCLAIMERS AND LIMITATION OF LIABILITY

Nuyae makes no representations or warranties regarding the Program, the success of your affiliate marketing efforts, or any potential income or earnings. Participation in the Program does not guarantee any particular level of sales, commissions, or income. Affiliates participate in the Program at their own risk.

14. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Lagos State, Nigeria, without regard to its conflict of laws principles.

15. DISPUTE RESOLUTION

Any disputes arising out of or relating to this Agreement or the Program shall first be addressed through good-faith negotiation between the parties. Where a dispute cannot be resolved through negotiation, it shall be referred to mediation and, where necessary, arbitration in accordance with applicable Nigerian law.
